1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and FlowPlan ("Company," "we," "us," or "our") concerning your access to and use of the FlowPlan website, application, and services (collectively, the "Service").

By accessing or using the Service, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to access or use the Service.

YOU MUST BE AT LEAST 18 YEARS OF AGE TO USE THIS SERVICE.

2. Account Registration

2.1 Account Creation

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

2.2 Account Security

You are responsible for safeguarding your account credentials. We recommend using a strong, unique password and enabling two-factor authentication (if available). You agree not to share your account credentials with any third party.

2.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, if we believe you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

3. Use of the Service

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

3.2 Prohibited Uses

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws

3.3 Content Accuracy

You are responsible for the accuracy of all information you enter into the Service, including financial data. FlowPlan is not responsible for errors in calculations or financial planning resulting from inaccurate input data.

FLOWPLAN IS A FINANCIAL PLANNING TOOL, NOT FINANCIAL ADVICE.

• We do not provide professional financial, investment, tax, or legal advice
• The Service is for informational and planning purposes only
• You should consult with a qualified financial advisor before making financial decisions
• We are not responsible for any financial losses resulting from your use of the Service
• Past performance or projections do not guarantee future results

FlowPlan does not have access to your actual bank accounts, credit cards, or financial institutions. All financial data is entered manually by you and is not connected to real-time financial data.

5. Intellectual Property Rights

5.1 Our Property

The Service, including all content, features, functionality, software, code, design, graphics, logos, and trademarks, is owned by FlowPlan and is protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of all financial data and information you input into the Service ("Your Content"). By using the Service, you grant us a limited license to use, store, and process Your Content solely for the purpose of providing the Service to you.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use and incorporate such feedback without any obligation to you.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, FlowPlan disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• That the Service will be uninterrupted, error-free, or secure
• That defects will be corrected
• That the Service is free of viruses or other harmful components
• The accuracy, reliability, or completeness of any content or calculations

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWPLAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

This includes damages arising from:

• Use or inability to use the Service
• Unauthorized access to or alteration of your data
• Financial decisions made based on the Service
• Errors, mistakes, or inaccuracies in calculations or content
• Any bugs, viruses, or other harmful components
• Downtime or unavailability of the Service

IN NO EVENT SHALL FLOWPLAN'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS (OR $100 IF YOU HAVE NOT PAID US).

Some jurisdictions do not allow the limitation of liability for certain damages, so some of the above limitations may not apply to you.

8. Indemnification

You agree to defend, indemnify, and hold harmless FlowPlan, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Your violation of any applicable laws or regulations

9. User Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

9.1 Data Backup

While we implement backup procedures, you are responsible for maintaining your own backup of any data you input into the Service. We are not liable for any loss of data.

9.2 Data Deletion

If you delete your account, your data will be permanently deleted within 30 days. This action is irreversible.

10. Payment Terms (If Applicable)

10.1 Free Service

FlowPlan is currently offered as a free service during the beta/waitlist period. We reserve the right to introduce paid plans in the future.

10.2 Future Paid Plans

If we introduce paid subscriptions:

• We will notify you in advance before charging any fees
• You will have the option to continue with a paid plan or discontinue use
• All fees are non-refundable unless otherwise stated
• Subscriptions will auto-renew unless you cancel before the renewal date

11. Termination

11.1 By You

You may terminate your account at any time by deleting your account through the Service settings or by contacting us.

11.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• At our sole discretion for operational or legal reasons

11.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on this page
• Updating the "Last updated" date at the top
• Sending you an email notification (if you have an account)

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, or internet/telecommunications failures.
